Terms / 001

A clear agreement for exact accounting.

These terms govern access to To the Cent, a service that transfers eligible Shopify accounting activity into a merchant’s QuickBooks Online company.

Operator and acceptance

To the Cent is operated by Jacob Gadek in Hamilton, Ontario, Canada. By installing, connecting, or using the service, you agree to these terms. If you act for a business, you confirm that you have authority to bind that business.

The service

To the Cent reads authorized Shopify and QuickBooks Online data and creates, updates, or reconciles accounting records according to the mappings and modes selected by the merchant. Features may include order and refund sync, payout reconciliation, historical import, review queues, and duplicate recovery.

Your responsibilities

  • Provide accurate account mappings and configuration.
  • Protect administrator access to Shopify and QuickBooks.
  • Review synced records and resolve items that need judgment.
  • Maintain lawful rights to the data and accounts you connect.
  • Keep independent records and backups appropriate for your business.

Accounting judgment

To the Cent is software, not an accountant, tax adviser, lawyer, or fiduciary. You remain responsible for accounting classifications, tax treatment, filings, controls, and final financial records.

Acceptable use

You may not misuse the service, bypass security or usage controls, interfere with other users, introduce malicious code, access data without authorization, or use the service in violation of law or connected-platform terms.

Connected platforms

Shopify, Intuit, and infrastructure providers are independent third parties. Their availability, APIs, and terms can change. To the Cent is not responsible for a third-party service, but will make reasonable efforts to handle interruptions safely and visibly.

Fees

Paid plans, billing periods, trials, and cancellation terms are presented and approved through Shopify App Pricing. Shopify bills approved app charges. To the Cent does not collect app subscription payment details directly. Taxes may apply. Unless required by law, charges already incurred are not refundable.

Plan eligibility can depend on trailing order volume. If a store exceeds its plan's included volume, the app will recommend an upgrade but will not abruptly stop an accounting sync solely because of the overage.

Availability and warranty

We aim to provide a reliable and accurate service, but the service is provided on an “as available” basis to the extent permitted by law. We do not guarantee uninterrupted operation or that every third-party data condition can be resolved automatically.

Liability

To the extent permitted by law, the operator is not liable for indirect, incidental, special, consequential, or lost-profit damages. Aggregate liability relating to the service will not exceed the greater of CAD $100 or the fees you paid for the service during the three months before the event giving rise to the claim.

Ending use

You may stop using the service, disconnect QuickBooks, or uninstall the Shopify app at any time. We may suspend or terminate access for material breach, security risk, unlawful use, or non-payment. Data handling after termination follows the privacy policy.

Ontario law and contact

These terms are governed by the laws of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law rules. Questions can be sent to jlgadek@gmail.com.
